TORONTO, Oct. 13 /CNW/ - Atlanta Gold Inc. (TSX: ATG) announces that it intends to complete a non-brokered private placement of up to 25,000,000 common shares at a price of $0.12 per share for gross proceeds of $3.0 million. The Company may elect to increase the size of the offering by up to 15%. Proceeds from the Offering will be used to explore the Company's Atlanta gold property located in Idaho, U.S.A. and for working capital purposes. Completion of the offering is subject to stock exchange approvals.
Certain insiders of the Company, including members of the Board of Directors and senior management, will participate in the offering. The Company will pay a finder's fee to registrants consisting of an 8% cash commission and 8% compensation options, with each compensation option entitling the holder to purchase one common share at a price of $0.13 per share for one year. All securities issued under the offering will be subject to a four-month statutory hold period.
The TSX Venture Exchange ("TSX-V") has conditionally approved the listing of the Company's common shares for trading, subject to the Company completing a financing for minimum gross proceeds of $1 million, and compliance with standard TSX-V listing requirements. The Toronto Stock Exchange has advised that it will delist the common shares of the Company at the close of trading on October 23, 2009.
